THE HOLLIS HISTORICAL SOCIETY BYLAWS

ARTICLE I
The name of this corporation shall be “The Hollis Historical Society” and shall be referred to as the “Society.”
ARTICLE II
Purpose
The purpose of this Society shall be to acquire and make provision for the preservation of souvenirs and historical data and to stimulate an interest in historical matters, particularly as they relate to Hollis, New Hampshire.
ARTICLE III
Membership
Section 1. Membership in this Society shall be open to all persons interested in the purposes of this society and who are willing to participate in its activities. A member is any person who has paid annual dues to the society for the current year.
Section 2. The annual dues shall be as the Board of Directors shall from time to time determine.
ARTICLE IV
Officers and Directors
The officers of the Society shall be a President, Vice-President, Curator, Clerk, Corresponding Secretary and Treasurer. The Board of Directors shall be comprised of the six regular officers and three other elected directors. Officers shall be elected at the Annual Meeting by the members. One Director shall be elected every year to serve for three years. Officers shall be elected for a term of two years. Officers and director positions must be held by members of the Society.
Vacancies on the Board of Directors, including officer vacancies, shall be filled until the next annual meeting..
ARTICLE V
Duties of President and Vice-President
The President, or in the absence of the President, the Vice-President, shall preside at all meetings of the Society and Board of Directors, and render such accounts and services as are usually performed by such officers, or as the Board of Directors shall prescribe and require.
ARTICLE VI
Duties of the Curator
The Hollis Historical Society Curator should supervise activities within the Historical Society committees. This individual should be able to fill-in and help any committee that needs assistance, especially the Collections/Accessions Committee and the Exhibits Committee, for which this person works closely and on a regular basis. The Curator should coordinate research activities relating to the Society’s records and the Town’s history. The Curator should know how to operate the various computer programs used within the Society. The Curator should coordinate publicity such as the newsletter and news releases when necessary. This individual should be a liaison with community organizations and schools and help promote the Society within the Town and surrounding communities.
ARTICLE VII
Duties of the Clerk
The Clerk shall record all votes and proceedings of the members of the Society; shall also keep a record at the Wheeler House of all votes and proceedings of the Board of Directors; and perform all duties usually performed by such office.
ARTICLE VIII
Duties of the Corresponding Secretary
The Corresponding Secretary shall assume responsibility for all correspondence of the Society and other duties as prescribed by the Board of Directors.
ARTICLE IX
Duties of the Treasurer
Section 1. The Treasurer shall have custody of the funds of the Society; perform any other duties required by the Board of Directors; and provide a bond to the Society if required by the directors, with such sureties as the board may require.
Section 2. The Treasurer accounts shall be subject to audits as required by the Board of Directors.
ARTICLE X
Duties of the Board of Directors
Section 1. The Board of Directors shall have the management and control of the business of the Society. They shall appoint committees and fill all officer or director vacancies until the next annual meeting of the Society.
Section 2. Regular meetings of the Board of Directors shall be held at least ten times per year at such times and places as may be determined by the Board, and special meetings may be called at other times by the President or a majority of the Board.
Section 3. A majority of the Board of Directors shall constitute a quorum at all meetings of the board, but less than a majority may adjourn a meeting of the board or take recess to some later time.
ARTICLE XI
Appointments and Committees
Appointments and Committees of the Society may include but not be limited to the following:
Accessions/Registrar
Engine House Docents
Exhibits
Genealogy/Historians
Hospitality
Maintenance
Membership
Museum Docents
Program
Publicity
Other committees may be appointed by the Board of Directors as deemed necessary. A committee may consist of one member.
ARTICLE XII
Annual Meeting
Section 1. The annual meeting of the Society shall be held in Hollis in May on the date designated by the Board of Directors. Nine members shall constitute a quorum for the transaction of business at the meeting. A slate of officers and directors for the coming year shall be presented to the membership by the Board of Directors. Other nominations may be taken from the floor.
Section 2. Notice of the annual meeting shall be sent to all members and local papers
ARTICLE XIII
Revision
These bylaws may be revised, amended or repealed by a two-thirds vote of the members present and voting at the annual meeting, provided that the notice of such proposed changes be mailed to the membership with the notice of the annual meeting.
